  • Cloud ERP system subscriptions

3. Professional Standards

Our services are provided in accordance with:

  • Singapore Financial Reporting Standards (SFRS)
  • Generally Accepted Accounting Principles (GAAP)
  • Relevant Singapore laws and regulations
  • Professional codes of conduct and ethics
  • Industry best practices and standards

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate, complete, and timely information
  • Maintain proper documentation and records
  • Comply with all applicable laws and regulations
  • Pay fees and charges as agreed
  • Respond promptly to our requests for information
  • Review and approve deliverables in a timely manner

5. Fees and Payment

Payment terms and conditions:

  • Fees are as quoted or as per our standard rate schedule
  • Payment terms are typically 30 days from invoice date
  • Late payment may incur interest charges
  • We reserve the right to suspend services for non-payment
  • All fees are subject to applicable taxes (GST)
  • Refunds are subject to our refund policy

6. Confidentiality

We maintain strict confidentiality regarding:

  • All client information and business affairs
  • Financial and accounting records
  • Strategic and proprietary information
  • Personal and sensitive data

This confidentiality obligation survives termination of our services, except where disclosure is required by law or regulation.

7. Limitation of Liability

Our liability is limited as follows:

  • Total liability shall not exceed the fees paid for the specific service
  • We are not liable for consequential or indirect damages
  • Liability is limited to direct damages only
  • Claims must be made within 12 months of the service provision
  • We maintain professional indemnity insurance

8. Intellectual Property

Regarding intellectual property rights:

  • We retain ownership of our methodologies and processes
  • Clients retain ownership of their business information
  • Software and systems licenses are governed by separate agreements
  • Our reports and deliverables are licensed for client use
  • Third-party software is subject to respective license terms

9. Data Protection and Security

We are committed to protecting your data through:

  • Compliance with Singapore's Personal Data Protection Act (PDPA)
  • Implementation of appropriate security measures
  • Regular security audits and updates
  • Staff training on data protection
  • Secure data transmission and storage

10. Termination

Either party may terminate services:

  • With 30 days written notice
  • Immediately for material breach of terms
  • For non-payment of fees
  • For violation of professional standards

Upon termination, all outstanding fees become immediately due, and we will return client materials as requested.

11. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, cyber attacks, or pandemics.

12. Dispute Resolution

Any disputes shall be resolved through:

  • Good faith negotiation between parties
  • Mediation if negotiation fails
  • Arbitration under Singapore law if required
  • Singapore courts have exclusive jurisdiction

13. Governing Law

These terms are governed by Singapore law. Any legal proceedings shall be conducted in Singapore courts.

14. Changes to Terms

We may update these terms from time to time. Changes will be communicated to clients and posted on our website. Continued use of our services constitutes acceptance of updated terms.
